1. Service Terms

These Terms of Service ("Terms") govern your access to and use of the KiserTech Digital Workforce Marketplace, including the website, APIs, Desktop Agent software, and related services (collectively, the "Service") operated by Kiser Technologies LLC ("KiserTech," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

The Service provides AI-powered digital workforce solutions ("AI Employees"), including subscription-based access to specialized AI roles (e.g., front desk, outreach, social media, compliance). Your use is subject to the plan you purchase and the connection key issued to you. You are responsible for maintaining the confidentiality of your connection keys and for all activity occurring under your account.

2. AI Disclaimer & Human Verification

AI Employees are tools designed to assist. They are not human and do not replace human judgment. Final output should be reviewed by a human before any critical decision or public use. Kiser Technologies LLC is not responsible for errors in AI-generated content, inaccuracies, omissions, or any consequences resulting from your reliance on such content. You assume all risk for decisions made based on AI Employee outputs.

3. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Damages Cap: Our total liability for any claims arising from or related to the Service shall not exceed the lesser of (a) the fees you paid to us in the twelve (12) months preceding the claim, or (b) one thousand US dollars ($1,000).
• No Consequential Damages: We shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to lost profits, lost data, business interruption, reputational harm, or loss of goodwill, even if we have been advised of the possibility of such damages.
• Third-Party Reliance: We are not liable for any reliance by you, your customers, or any third party on AI Employee outputs. You use such outputs at your own risk.
• Essential Purpose: If any remedy fails of its essential purpose, our liability remains limited to the amounts stated above.
• Jurisdiction: Some jurisdictions do not allow the exclusion or limitation of certain damages. Where such laws apply, our liability shall be limited to the maximum extent permitted by law. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded (e.g., death or personal injury caused by negligence, fraud).

4. Indemnification

You agree to indemnify, defend, and hold harmless Kiser Technologies LLC, its officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) your reliance on AI Employee outputs; or (e) any content or data you submit, transmit, or process through the Service. We reserve the right to assume the exclusive defense of any matter subject to indemnification at your expense.

5. No Guarantee of Accuracy

We do not guarantee the accuracy, completeness, timeliness, or fitness for a particular purpose of any AI Employee output. AI systems may produce errors, hallucinations, or outputs that are incomplete or inappropriate for your use case. You are solely responsible for evaluating and verifying all AI-generated content before use.

6. Refund Policy

You may request a full refund within 14 days of your initial subscription purchase. To request a refund, contact us at support@kisertech.io with your order or subscription details. Refunds are processed within 5–10 business days. After the 14-day period, subscriptions are non-refundable. Downgrades or cancellations take effect at the end of the current billing period.

7. Data Protection & Privacy

We collect and process personal data in accordance with our Privacy Policy. Our practices align with applicable data protection laws, including GDPR and CCPA where applicable. You have rights to access, correct, delete, or port your data. Contact us to exercise these rights.

8. Acceptable Use

You agree not to use the Service for illegal purposes, to violate any laws, or to infringe on the rights of others. Prohibited uses include but are not limited to: fraud, harassment, spam, distributing malware, or circumventing access controls. We may suspend or terminate your access for violations.
